Associate Counsel

Position Summary

U.S. Concrete seeks an Associate Counsel, who will report to the General Counsel and provide legal counsel and service to the company's corporate and subsidiary operating units in the areas of construction and other commercial contracts, business transactions, litigation management, intellectual property, real estate, compliance, risk management and general operational legal advice.


Primary Responsibilities

  • The candidate will serve as a member of the corporate legal team providing legal counsel as a generalist with particular emphasis on the following:
  • Construction and other contracts-reviewing, drafting, editing and providing legal counsel and advice with respect to risks and suggested protective modifications of construction contracts, review and redrafting of various commercial agreements ranging from non-disclosure agreements, consultant agreements, agreements with service providers, equipment leases, engagement letters, agreements with respect to software and hardware, systems management contracts, bills of sale and procurement agreements.
  • Real estate matters-reviewing, drafting, editing and providing legal counsel and advice with respect to leases, contracts to purchase or sale realty, easements, access and encroachment agreements, assignment and assumption agreements and condemnation proceedings.
  • Litigation management-work closely with the affected business unit and advise, direct and manage outside counsel with respect to non-insured litigation matters, including construction defect and collection matters.
  • Service of process matters-serve as primary recipient of service of process on company entities, including formal notices, suits, demands, garnishment, governmental notices and subpoenas. Coordinate with affected party with respect to responsive action.
  • Intellectual property-coordinate with business personnel with respect to IP needs and conduct oversight of outside counsel with respect to patent and trademark matters.


Knowledge and Skills Requirements

  • Superior knowledge of corporate, transactional and general commercial law principles with emphasis on construction sector a plus.
  • Excellent written and oral communication, analytical and drafting skills.
  • Excellent organizational and project management skills and the ability to manage multiple priorities simultaneously under pressure to respond with attention to detail.
  • Ability to balance legal risks and business objectives, providing alternative solutions.
  • Self-starter who is able to work with minimal supervision.
  • Strong interpersonal skills and ability to work and communicate effectively with all levels of the organization.
  • Professional demeanor and team player with highest ethical standards.
  • Strong business judgment and problem-solving capabilities.



  • Juris doctorate from an accredited law school.
  • A minimum of 5 years of experience as a licensed, practicing attorney with strong corporate and commercial law experience at a top law firm or in-house.
  • Licensed to practice in Texas.
  • Limited travel is required.
  • Proficient on Word and Outlook programs.
  • Must have the ability to excel in a fast-paced environment and react well under pressure
  • Must have excellent telephone/communication/professional skills
  • High degree of attention to detail to ensure accuracy and thoroughness
